Llana Beach Fractions Consultation Response - October/November 2025

This page is provided for Members who have received an invitation to a General Meeting in November 2025 for the purpose of instructing the Directors to negotiate and agree alternative rental agreements with The Resort Group.  Responses submitted on the form below will be accepted by the Directors as an indication of attendance and voting intentions at the relevant General Meeting.  Given that over 100 General Meetings have been called, these responses are being used to allow the Directors to conduct business as efficiently as possible within the Rules applying to the Companies, and also to ensure that the interest of Members are not hindered by the failure to engage in the process by fellow Members.

You should only complete the questionnaire below if you have recently received a communication inviting you to a General Meeting related to the a Llana property, and you have been directed to access this page.

Background

​

The Directors of a number of Companies holding property interests at the Llana and Dunas resorts in Cape Verde have successfully negotiated improved rental arrangements for 380  properties over the past 2 years.

​

The impact of these agreements have been:

- a fixed rental income for each property, paid on a monthly basis

- an extended rental term of over 20 years

- elimination of all costs and liabilities for Beach Resort Management Fees

- a rent review every 5 years, with professional input in assessing value

- ring-fenced investment in the improvement of properties where merited by the commercial opportunities.

The Directors have received representations from 120 Members representing 105 different properties on the Llana Resort requesting that the Directors negotiate and implement similar arrangements for their properties.  These Members have made it clear that they feel disadvantaged by not having been given the opportunity to take advantage of this opportunity.  The Directors contacted The Resort Group who have informally indicated that they would be prepared to consider an agreement to the new, improved terms for these properties.

Therefore The Directors have convened the required General Meetings for each of the affected Companies to allow Members to express a view on the opportunity and, if thought appropriate, to ask the Directors to negotiate and agree similar improved arrangements in line with the wishes of the 120 Members who have already requested this.

Please use the response form below to record your wishes.  Please note, if you have an interest in more than 1 Company, there is an opportunity to record a response for ALL COMPANIES.  You should record the name of 1 of these Companies in the relevant box, and then tick the box which shows you would like you response to be applicable to all the Companies in which you are a Member.

Resolution

At each General Meeting those present will be invited to vote on the following resolution:

The Members unanimously agree to instruct the Directors to negotiate and agree the improved rental terms as described in the invitation to the General Meeting on behalf of the Company, including the elimination of BRM fees, the fixed rental income with rent reviews, and the movement to join with other similar properties within the relevant Property Company.
